In June 2011, the Minister for Transport changed the governance model for CIÉ by converting the Group Chairman role from an executive to a non-executive role. The Minister also appointed non-executive Chairmen to each of the operating companies at that time.
CIÉ Board Committees
The Board Members are appointed by the Minister for Transport, Tourism and Sport (the "Minister"). There are c. 10 board meetings per annum. All Board Members are non-executive or worker directors.
CIÉ Group Management
The Group management team is responsible for providing strategic direction, control and overall co-ordination for the Group.
In addition to being the owner of the Group's property portfolio and the shareholder in Iarnród Éireann, Bus Éireann and Dublin Bus, CIÉ Group provides centralised services to the operating subsidiaries. These services include:
• A Centralised Treasury function
• Management of the Group's Pension Schemes
• Property Management
• Group Information Technology
• Legal Services
• Claims Management
Strategic direction, control and overall co-ordination is provided by the Holding Company whilst each subsidiary has its own board of directors and executive management team which have a high degree of autonomy.
